Please note: these Terms are a general template and may be updated from time to time. They govern your access to and use of WaslChat. By creating an account, signing in, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1.Introduction & Acceptance of Terms
These Terms of Service ("Terms") are a legal agreement between you (the business or individual using the Service, "you" or "Customer") and WaslChat (Proprietor: Shaik Jafurulla), based in Andhra Pradesh, India ("WaslChat", "we", "us", or "our").
By registering for, accessing, or using the WaslChat web application, APIs, and related services (collectively, the "Service"), you accept these Terms and our Privacy Policy, which is incorporated here by reference. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2.Description of the Service
WaslChat is a software-as-a-service platform for the WhatsApp Business Platform that provides a shared team inbox, multi-channel messaging, chatbots, AI-assisted replies, broadcasts, appointment booking, a lightweight storefront, and related automation tools.
WaslChat operates on a "bring your own account" model: you connect your own WhatsApp Business Account (WABA) to WaslChat, typically through Meta's Embedded Signup flow. Meta bills you directly for WhatsApp conversation and messaging costs under your own Meta billing relationship. WaslChat charges only its own subscription (software) fees and does not resell or mark up Meta's conversation charges. We may add, change, or remove features over time to improve the Service.
3.Eligibility & Account Registration
The Service is intended for businesses and for users who are at least 18 years old. To use the Service you must create an account using a valid email address and password, or by signing in with a supported third-party identity provider such as Google Sign-In. You agree to provide accurate, current, and complete information and to keep it up to date.
You are responsible for safeguarding your login credentials and for all activity that occurs under your account, including the actions of any team members you invite. Notify us promptly at hello@waslchat.io if you suspect any unauthorised use of your account.
4.Subscriptions, Billing & Payments
WaslChat is offered on subscription plans (currently Starter, Growth, and Business), billed monthly or annually as selected at checkout. A one-time setup fee may apply to certain plans or onboarding services, as disclosed before purchase.
- Merchant of record. Subscription payments are processed by Paddle, our merchant of record. Your purchase is also subject to Paddle's buyer terms, and Paddle (not WaslChat) handles payment processing, invoicing, and applicable taxes.
- Software fees only. Subscription fees cover access to the WaslChat software. They are separate from any WhatsApp/Meta conversation charges, which Meta bills to you directly.
- Renewal. Subscriptions renew automatically for the same term until cancelled. You can cancel at any time to stop future renewals; cancellation takes effect at the end of the current billing period.
- Taxes. Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes, levies, or duties.
- Refunds. Except where required by applicable law, fees are non-refundable, and there are no refunds or credits for partial periods, unused time, or features not used.
5.Acceptable Use
When using the Service, you agree that you will not:
- Send spam, bulk unsolicited messages, or any messages without the required recipient consent;
- Violate the WhatsApp Business Messaging Policy, the WhatsApp Business Terms, or the Meta Platform Terms and Developer Policies;
- Transmit unlawful, fraudulent, deceptive, harassing, hateful, infringing, or otherwise harmful content;
- Reverse engineer, decompile, scrape, or attempt to gain unauthorised access to the Service or its underlying systems;
- Interfere with, overload, or disrupt the Service, or use it to build a competing product;
- Use the Service in violation of any applicable law or third-party rights.
We may suspend or limit accounts that we reasonably believe violate this policy, in order to protect the Service, our Customers, End Users, or third parties.
6.Customer Responsibilities
You are solely responsible for:
- Your WhatsApp Business Account, phone number(s), message templates, display name, and your standing and compliance with Meta/WhatsApp;
- Obtaining and maintaining valid consent / opt-in from your end-customers before messaging them, and honouring opt-out requests;
- The lawfulness of the content you send and the data you upload or process through the Service;
- Complying with all laws applicable to your business and your communications, including data-protection and consumer-protection laws in your jurisdiction; and
- The configuration of your account, automations, bots, and the conduct of team members you grant access.
7.Third-Party Services
The Service integrates with third-party services, including Meta / WhatsApp (messaging), Paddle (payments), and Google (sign-in), among others. Your use of those services is subject to their respective terms and policies.
WaslChat does not control these third parties and is not responsible or liable for their availability, outages, changes to features, pricing, policy changes, or for any acts or omissions on their part. Changes a third party makes may affect or interrupt the Service, and we may need to modify the Service in response.
8.Intellectual Property
The Service, including its software, design, branding, and all related intellectual property, is and remains the property of WaslChat and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription.
You retain ownership of the content and data you submit ("Customer Content"). You grant WaslChat a licence to host, process, and transmit Customer Content solely to provide and improve the Service. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.
9.Data & Privacy
Our collection and use of personal data is described in our Privacy Policy. For WhatsApp conversations and related personal data processed on your behalf, you are the controller and WaslChat acts as your processor, handling such data in accordance with the Privacy Policy and applicable law. You are responsible for ensuring you have the necessary rights and consents for the data you process through the Service.
10.Service Availability & Disclaimers
The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or secure, and we do not provide any uptime or availability guarantee unless expressly agreed in a separate written service-level agreement. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Beta or preview features are provided without warranty and may be changed or removed at any time.
11.Limitation of Liability
To the maximum extent permitted by applicable law, WaslChat and its proprietor will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility of such damages.
Our total aggregate liability for all claims relating to the Service will not exceed the amount of subscription fees you paid to WaslChat in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12.Indemnification
You agree to indemnify, defend, and hold harmless WaslChat and its proprietor from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Customer Content or messages; (c) your violation of these Terms or any applicable law or third-party policy (including Meta/WhatsApp policies); or (d) claims by your end-customers or other third parties relating to your communications.
13.Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay fees, use the Service unlawfully, or where required to protect the Service or others.
Upon termination, your right to use the Service ends. We will handle any data retention or deletion in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
14.Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
15.Governing Law & Jurisdiction
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to any mandatory local law that applies to you, the courts located in Andhra Pradesh, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
We serve customers across the GCC and other regions. If you are a customer in the GCC or elsewhere, you may also have rights under the mandatory consumer-protection laws of your country, which these Terms do not override.
